1. ACCEPTANCE OF TERMS

By accessing or using the NeighborStack platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. DESCRIPTION OF SERVICE

NeighborStack LLC ("NeighborStack") is an AI-powered communication platform that helps contractors manage customer interactions through automated call and message handling. The Service uses artificial intelligence technology, including third-party AI models, to process customer communications and qualify leads.

3. DEFINITIONS

  • "Platform" - The NeighborStack software, technology, and services
  • "Contractor" - Business users who purchase and configure the Service
  • "End Users" - Customers who contact Contractors through the Platform
  • "AI Assistant" - The artificial intelligence technology that processes communications
  • "Content" - All information, data, text, messages, and other materials

4. ⚠️ ARTIFICIAL INTELLIGENCE DISCLAIMERS

4.1 AI Technology Limitations

THE SERVICE USES ARTIFICIAL INTELLIGENCE TECHNOLOGY THAT IS NOT PERFECT AND CAN MAKE ERRORS.

You acknowledge and agree that:

  • AI responses may be inaccurate, incomplete, or inappropriate
  • AI technology can misinterpret customer communications
  • AI responses are generated based on training data that may contain biases or errors
  • The AI Assistant operates autonomously and NeighborStack cannot control or predict every response

4.2 No Guarantee of AI Accuracy

NeighborStack makes NO WARRANTIES OR REPRESENTATIONS regarding:

  • Accuracy of AI-generated responses
  • Completeness of customer information extraction
  • Appropriateness of AI responses in specific situations
  • Compliance of AI responses with applicable laws or regulations

4.3 Contractor Configuration Dependency

THE AI ASSISTANT'S RESPONSES ARE HEAVILY DEPENDENT ON CONTRACTOR-PROVIDED INFORMATION.

Errors in AI responses may result from:

  • Incorrect pricing information provided by Contractor
  • Inaccurate service descriptions configured by Contractor
  • Outdated business information in Contractor's profile
  • Improper setup of business rules and guidelines
  • Conflicting or unclear instructions provided to the AI system

5. 🚫 LIMITATION OF LIABILITY FOR AI ERRORS

5.1 No Liability for AI-Generated Content

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEIGHBORSTACK SHALL NOT BE LIABLE FOR:

  • Pricing Errors - Incorrect quotes or pricing information provided by the AI Assistant
  • Service Misrepresentation - Inaccurate descriptions of Contractor's services
  • Scheduling Conflicts - Availability commitments made by the AI Assistant
  • Professional Advice - Any advice, recommendations, or guidance provided by AI
  • Business Losses - Lost customers, revenue, or opportunities due to AI errors
  • Customer Disputes - Conflicts arising from AI-generated responses
  • Regulatory Violations - Non-compliance with laws due to AI responses

6. CONTRACTOR OBLIGATIONS

6.1 Accurate Information

Contractor must:

  • Provide accurate and current business information
  • Update pricing and service details promptly
  • Configure AI Assistant settings appropriately for their business
  • Monitor AI Assistant interactions regularly

6.2 Customer Communication

Contractor is responsible for:

  • All communications with their customers, including AI-generated content
  • Obtaining necessary permissions for call recording and AI processing
  • Providing appropriate privacy notices to customers
  • Handling customer complaints and disputes related to AI interactions

7. 📞 CALL RECORDING AND COMMUNICATIONS

7.1 Recording Consent

  • Contractors are responsible for obtaining proper consent for call recording
  • The Platform provides standard recording consent prompts
  • Contractors must comply with applicable call recording laws in their jurisdiction

7.2 AI Processing of Communications

By using the Service, Contractor consents to:

  • AI processing of all customer communications
  • Analysis of conversation content for lead qualification
  • Storage and processing of customer data for service improvement

8. 🛡️ INDEMNIFICATION

8.1 Contractor Indemnification

Contractor agrees to indemnify and hold harmless NeighborStack from any claims, damages, or losses arising from:

  • Contractor's use of the Service
  • AI responses based on Contractor-provided information
  • Contractor's violation of these Terms
  • Customer disputes related to Contractor's business
  • Regulatory violations by Contractor
  • Inaccurate information provided by Contractor to the Platform

9. LIMITATION OF LIABILITY

9.1 Damages Cap

IN NO EVENT SHALL NEIGHBORSTACK'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY CONTRACTOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.2 Excluded Damages

NEIGHBORSTACK SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Cost of substitute goods or services
  • Business interruption or loss of use
  • Damage to reputation or goodwill

10. DISPUTE RESOLUTION

10.1 MANDATORY BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY - IT AFFECTS YOUR LEGAL RIGHTS

YOU AND NEIGHBORSTACK LLC AGREE THAT ALL DISPUTES WILL BE RESOLVED BY BINDING ARBITRATION AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.2 Arbitration Agreement

Any controversy, claim, or dispute arising out of or relating to these Terms, the Service, or your relationship with NeighborStack LLC shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.

Arbitration Process:

  • Single Arbitrator: Disputes will be resolved by a single arbitrator
  • Location: Arbitration will take place in Dallas County, Texas or via video conference
  • Costs: Each party bears their own costs and attorney fees unless otherwise required by law
  • Discovery: Limited discovery as determined by the arbitrator
  • Appeal: Arbitration decisions are final and binding with limited appeal rights

10.3 Exceptions to Arbitration

The following matters are excluded from arbitration and may be pursued in court:

  • Claims seeking injunctive or equitable relief
  • Disputes that may be resolved in small claims court (under $10,000)
  • Intellectual property disputes
  • Claims related to data security breaches affecting personal information

10.4 Class Action Waiver

YOU AND NEIGHBORSTACK LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

10.5 Governing Law and Jurisdiction

These Terms are governed by the laws of Texas, without regard to conflict of law principles. Any legal action that is not subject to arbitration must be brought in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of such courts.

10.6 Limitation on Time to File Claims

Any claim or cause of action arising out of these Terms or the Service must be filed within ONE (1) YEAR after such claim arose or be forever barred.

10.7 Jury Trial Waiver

TO THE EXTENT NOT PROHIBITED BY LAW, YOU AND NEIGHBORSTACK LLC WAIVE ANY RIGHT TO TRIAL BY JURY FOR ANY CLAIMS COVERED BY THESE TERMS.
