Terms of Service

1. Acceptance of Terms

By accessing or using the NeighborStack platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. Continued use after changes constitutes acceptance.

2. Description of Service

NeighborStack LLC ("NeighborStack," "we," "us," or "our") provides an AI-powered communication platform that helps home service contractors manage inbound customer calls, text messages, and web inquiries. The Service uses artificial intelligence, including third-party AI models, to answer calls, qualify leads, and deliver lead information to contractors.

3. Definitions

• "Platform" — The NeighborStack software, technology, APIs, and services.
• "Contractor" — A business user who subscribes to and configures the Service.
• "End User" — A consumer or customer who contacts a Contractor through the Platform.
• "AI Assistant" — The artificial intelligence technology that processes and responds to communications on behalf of Contractors.
• "Content" — All information, data, text, recordings, messages, and other materials processed through the Service.

4. Account Registration and Eligibility

4.1 Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. By registering, you represent that you are authorized to act on behalf of the business entity you register.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@neighborstack.com if you suspect unauthorized access.

5. Subscription and Billing

5.1 Fees

The Service is offered on a subscription basis. Pricing, billing cycles, and included features are described on our pricing page and may change with 30 days' notice. All fees are in U.S. dollars.

5.2 Payment

You authorize us to charge your payment method for recurring subscription fees. Failed payments may result in service suspension after a 7-day grace period.

5.3 Refunds

Subscription fees are non-refundable except as required by applicable law or at our sole discretion.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any laws.
• Provide false or misleading business information to the AI Assistant.
• Use the Service to make unsolicited marketing calls or spam.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the Service or its infrastructure.
• Resell, sublicense, or provide the Service to third parties without authorization.
• Use the Service in any way that violates TCPA, CAN-SPAM, or other telecommunications regulations.

7. Artificial Intelligence Disclaimers

7.1 AI Technology Limitations

7.2 No Guarantee of Accuracy

NeighborStack makes no warranties or representations regarding the accuracy of AI-generated responses, completeness of information extraction, or appropriateness of AI responses in any specific situation.

7.3 Contractor Configuration Responsibility

The AI Assistant's responses depend on information you provide — your services, pricing, service area, FAQs, and business rules. Errors in AI responses may result from incorrect, outdated, or incomplete information you've configured. You are responsible for keeping your configuration accurate and current.

7A. Beta and Pre-Release Services

7A.1 Beta Status

From time to time, NeighborStack offers access to the Service, or features within it, on a beta, trial, evaluation, early-access, or other pre-release basis ("Beta Services"), often at no charge. Beta Services are identified as such or are provided during a designated trial or beta period.

7A.2 Provided "As Is," No Reliance

7A.3 Assumption of Risk

You use Beta Services at your own risk and agree not to rely on them for any business-critical, production, or revenue-dependent purpose. You are responsible for independently reviewing and verifying any output, quote, commitment, or lead information generated by the AI Assistant before relying on it or communicating it to any End User or third party.

7A.4 Feedback

You may choose to provide suggestions, comments, or feedback regarding the Beta Services ("Feedback"). You grant NeighborStack a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate any Feedback for any purpose without obligation or compensation to you.

7A.5 Confidentiality

Where a beta is designated non-public, you agree to keep the existence, features, and performance of the Beta Services confidential until NeighborStack makes them generally available.

7A.6 Precedence

The limitations of liability, disclaimers, and indemnification in these Terms apply fully to Beta Services and, to the maximum extent permitted by law, apply with particular force given that Beta Services are typically provided at no charge.

8. Contractor Obligations

8.1 Accurate Information

You must provide accurate, current business information and update your pricing, services, and service area promptly. You must monitor AI Assistant interactions regularly and report issues.

8.2 Customer Communication Compliance

You are responsible for:

• All communications with your customers, including AI-generated content sent on your behalf.
• Obtaining necessary consents for call recording and AI processing under applicable state and federal law.
• Providing appropriate privacy disclosures to your customers.
• Handling customer complaints and disputes arising from AI interactions.
• Compliance with all TCPA, state telemarketing, and Do Not Call requirements applicable to your business.

9. Call Recording and Communications

9.1 Recording Consent

The Platform may record phone calls for AI processing, quality assurance, and service delivery. The AI Assistant provides an automated disclosure at the beginning of calls. However, you are ultimately responsible for ensuring compliance with all applicable call recording consent laws in your jurisdiction, including two-party consent states.

9.2 TCPA Compliance

NeighborStack processes inbound communications initiated by End Users. You agree not to use the Platform to initiate outbound marketing calls or text messages in violation of the Telephone Consumer Protection Act (TCPA) or any similar state laws. You are solely responsible for any outbound communications you send using information obtained through the Service.

9.3 SMS/Text Messaging Program

NeighborStack operates an SMS text messaging program, NeighborStack Notifications, for Contractors who provide a mobile number and opt in during sign-up or in their account settings. Through this program we send account and service notifications related to your own NeighborStack account, including new-lead alerts (when the AI Assistant captures a lead on your behalf) and account, usage, and billing notifications. This program sends messages only to you, the account holder, about your own account activity. Messages the Platform sends to your End Users on your behalf are governed by Sections 9.1–9.2 and your own consent obligations, not by this program.

Message frequency varies and depends on your account activity, such as the number of leads your AI Assistant captures. Message and data rates may apply — your mobile carrier's standard rates apply to messages you receive.

For help, reply HELP to any message or contact us at support@neighborstack.com. To stop receiving messages, reply STOP to any message or disable SMS notifications in your account settings; you will receive a one-time confirmation and no further SMS notifications will be sent. Your mobile number and SMS opt-in consent are never shared or sold to third parties or affiliates for marketing or promotional purposes. 9A. Interactive Demos

Our public website offers interactive text and voice demos of the AI Assistant using fictional sample businesses. The demos are provided for evaluation only, are not a live business service, and are not tied to any account. By using a demo, you acknowledge that demo conversations (typed messages and voice transcripts) are recorded and may be used to test, monitor, evaluate, and improve our AI. You should not enter real personal, payment, or confidential information — demo input is treated as non-confidential. Demo usage is subject to reasonable rate and duration limits, and access may be withdrawn at any time.

10. Intellectual Property

The Service, including all software, algorithms, AI models, designs, and documentation, is owned by NeighborStack or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You retain ownership of your business data and configurations.

11. Limitation of Liability

11.1 No Liability for AI-Generated Content

11.2 Damages Cap

IN NO EVENT SHALL NEIGHBORSTACK'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11.3 Excluded Damages

NEIGHBORSTACK SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OPPORTUNITIES, COST OF SUBSTITUTE SERVICES, BUSINESS INTERRUPTION, OR DAMAGE TO REPUTATION.

12. Indemnification

You agree to indemnify, defend, and hold harmless NeighborStack, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• AI responses based on information you provided or configured.
• Your violation of these Terms or any applicable law.
• Customer disputes related to your business.
• Your failure to obtain proper consents for call recording or AI processing.
• Inaccurate information you provided to the Platform.

13. Account Termination

13.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support@neighborstack.com. Cancellation takes effect at the end of your current billing period. No partial refunds are provided for unused time.

13.2 Termination by NeighborStack

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or if we reasonably believe your use poses a risk to the Service or other users. We will make reasonable efforts to notify you before termination except in cases of egregious violations.

13.3 Effect of Termination

Upon termination, your access to the Service ceases. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be deleted in accordance with our Privacy Policy.

14. Dispute Resolution

14.1 Mandatory Binding Arbitration

14.2 Arbitration Process

Any dispute arising from these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration will be conducted by a single arbitrator in Dallas County, Texas, or via video conference at your election.

14.3 Exceptions

The following may be pursued in court:

• Claims for injunctive or equitable relief.
• Disputes eligible for small claims court (under $10,000).
• Intellectual property disputes.

14.4 Class Action Waiver

EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

14.5 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal action not subject to arbitration must be brought in the state or federal courts in Dallas County, Texas.

14.6 Limitation Period

Any claim arising from these Terms must be filed within one (1) year after the claim arose or be forever barred.

14.7 Jury Trial Waiver

TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE ANY RIGHT TO TRIAL BY JURY.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NEIGHBORSTACK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Force Majeure

NeighborStack shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, power failures, internet disruptions, government actions, or third-party service provider outages (including but not limited to OpenAI, Twilio, and cloud hosting providers).

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NeighborStack regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

17.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

17.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Notices

We may provide notices via email to the address on your account, through the Platform, or by posting on our website. Notices to us must be sent to legal@neighborstack.com.
